Wholesale Management Platform for Designers

1. About These Terms

These Retailer Terms of Use ("Retailer Terms") govern your access to and use of the Engaged Suite Software wholesale platform (the "Service"), operated by Engaged Sales Agency Corporation Pty Ltd [ABN 68 684 581 324] trading as "Engaged Suite Software" ("Engaged Suite Software," "we," "us," or "our"), when a Designer invites you to access their portal as a boutique, stockist, or retailer ("Retailer," "you," or "your").

By accepting an invitation and accessing the Service, you confirm that you have read, understood, and agree to be bound by these Retailer Terms. You must be at least 18 years of age and authorised to act for the business you represent. If you do not agree, you must not access or use the Service.

2. What The Service Is

The Service is software that lets you access one or more Designer portals you have been invited to, for example to view collections and pricing, place and track Wholesale Orders, book trunk shows, communicate with the Designer, and review or sign trading agreements.

Engaged Suite Software provides the software only. We are not the seller of any product, not a party to any Wholesale Order, and not a party to any trading agreement between you and a Designer. Your commercial and contractual relationship, including terms, pricing, delivery, returns, and payment obligations, is between you and the Designer.

3. Your Relationship With The Designer

Each Designer controls their own portal and the data within it. The Designer decides what you can see and do in their portal, sets the trading terms that apply between you, and is responsible for that relationship.

Any trading agreement, authorisation form, or order you sign or place in the Service is a matter between you and the Designer. Engaged Suite Software records these actions (including the date, time, and IP address at signing) so the Designer has an accurate record, but is not responsible for the content, accuracy, or enforcement of any agreement between you and a Designer.

4. Your Account & Security

You are responsible for keeping your login credentials confidential and for all activity that occurs under your access. You must notify us and the relevant Designer promptly of any unauthorised access or use.

A Designer may add, limit, or revoke your access to their portal at any time. We may also suspend or remove your access if you breach these Retailer Terms.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in breach of any applicable law

  • Access or attempt to access any Designer's portal or data you have not been invited to, or any other Retailer's data

  • Upload false, misleading, or fraudulent order or business information

  • Upload viruses, malicious code, or material designed to disrupt the Service

  • Circumvent or interfere with any security feature of the Service

  • Share your access with any person or business outside your own authorised use

6. Payments

Where you make payments to a Designer through the Service, those payments are processed by Stripe (or another supported payment processor), not by Engaged Suite Software. Your use of Stripe is governed by Stripe's own terms and privacy policy. We do not store your full card or bank account details, do not hold funds, and are not responsible for payment processing errors, delays, holds, or fee changes on the processor's part.

7. Your Data & Privacy

Our Privacy Policy explains how we handle personal information, including the account and activity data associated with your access. The Designer who invited you is the controller of the Retailer data within their portal, and Engaged Suite Software processes it to operate the Service.

You may contact us to access or correct the personal data we hold about you, as set out in our Privacy Policy. Requests relating to how a Designer uses your information within their own business should be directed to that Designer.

8. Disclaimers & Limitation of Liability

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not guarantee the Service will be uninterrupted, error-free, or available at all times.

To the maximum extent permitted by law, Engaged Suite Software and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, or data, arising from your use of the Service. Our total aggregate liability to you arising out of or relating to these Retailer Terms or the Service will not exceed one hundred Australian dollars (AUD 100) or the amount (if any) you have paid us directly, whichever is greater. Nothing in these Retailer Terms excludes or limits any consumer guarantee or other right that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.

9. Termination

These Retailer Terms apply while you have access to any Designer portal through the Service. Your access may end if a Designer revokes it, if you stop using the Service, or if we suspend or terminate your access for breach of these Retailer Terms. Sections 3, 6, 8, and 10 survive termination.
